Legal
Terms of Service
This is an English translation provided for convenience. The Bulgarian version is the legally binding text and prevails in case of any discrepancy.
1. Parties and subject matter
These terms govern the relationship between Ivan Martinov Dimitrov, an individual practising as a freelancer, with permanent address: Mladen Stoyanov 31, Pernik 2303, Bulgaria, email [email protected], phone +359 87 789 7510 (the “Provider”), and the condominium (етажна собственост) or owners’ association that uses the BlockBooks service, represented by its manager, chair of the management board or another duly authorised representative (the “Customer”).
The service is provided for managing the building, not for the personal or household purposes of individuals. The representative who accepts these terms confirms that they are entitled to bind the Customer.
2. Definitions
- Service — the BlockBooks online application for building finances, available at the building’s own address of the form building.blockbooks.org.
- Administrator — a Customer user with full rights in the application.
- Viewer — a resident or owner invited by an Administrator, with access to the building’s shared data and to their own apartments.
- Customer Data — all data entered into the application by the Customer or its users.
3. The service
The service lets the Customer record money received from apartments and expenses paid, view an apartment-by-month grid, prepare reports and CSV exports, and give residents limited access.
The service does not process payments, is not connected to banks, does not send payment reminders and does not issue invoices to residents. It is a record-keeping tool and is not accounting, legal or tax advice. The Customer is responsible for the accuracy of the data entered and for complying with the Bulgarian Condominium Management Act, including the decisions of the general meeting.
The Provider may develop and change the service’s features without materially reducing its core capabilities during a paid period.
4. Conclusion of the contract
The contract is concluded after individual negotiation by email or in writing, when the Customer accepts these terms. The Provider creates the building’s address in the service and sends an invitation to the first Administrator. On first sign-in, the Administrator confirms acceptance of these terms and of the Data Processing Agreement on behalf of the Customer.
5. Accounts and access
- Accounts are personal. The Customer is responsible for whom it invites and with which role, and for promptly removing access for people who are no longer entitled to it.
- Users keep their passwords and personal access tokens secret and notify an Administrator or the Provider immediately if they suspect unauthorised access.
- The Customer ensures it has a legal basis for entering residents’ data and informs them about its processing.
- Each building is separate: a user of one building has no access to another building’s data.
6. Acceptable use
It is prohibited to:
- use the service in breach of the law or of third-party rights;
- attempt to access other people’s data, accounts or systems, or circumvent security measures;
- load-test, scan or test the service for vulnerabilities without the Provider’s written consent;
- introduce malicious code or content unrelated to the building’s records;
- copy, decompile or create derivative works of the software, or resell access to the service.
7. Fees and payment
The standard price is: €2 per apartment per month — final price, VAT not charged (not VAT-registered). The specific price, billing period (monthly or yearly) and number of apartments are agreed individually for the building.
- The building is billed as a whole. The Provider issues an invoice and the Customer pays it in the manner and within the period stated on it. The service does not accept online payments.
- The operator is not registered for VAT under the Bulgarian Value Added Tax Act. If the Provider registers for VAT in the future, it will notify the Customer in advance, and the agreed final price may be revised only under section 18.
- The Provider may change prices with written notice at least 30 days in advance. Changes do not affect periods already paid.
- If payment is more than 30 days overdue after a reminder, the Provider may suspend access under section 11.
8. Free pilot period
The Provider may provide the service free of charge for a pilot or trial period on individually agreed terms. The Provider may end a free period with at least 30 days’ notice, and the Customer may then move to a paid plan or export its data. All other provisions of these terms apply during a free period.
9. Availability and support
The Provider makes reasonable efforts to keep the service available and working correctly, but does not guarantee uninterrupted operation and offers no service level agreement (SLA). Interruptions may occur for maintenance, updates or external reasons; the Provider gives advance notice of longer planned interruptions where possible.
Support is provided by email at [email protected] and by phone on business days.
10. Customer Data
- Customer Data remains the Customer’s property. The Provider uses it only to provide the service, under the Data Processing Agreement, which forms an integral part of the contract.
- The Customer may export its data in CSV format at any time.
- On termination, the Customer may export its data within 30 days; on request, the Provider assists with a complete copy. After that period, the data is deleted as set out in the Data Processing Agreement.
- The Provider makes regular encrypted backups, but the Customer is responsible for keeping its own copies of data it must retain by law.
The processing of personal data is also described in the App privacy notice.
11. Suspension
The Provider may temporarily suspend access to the service for the whole building or for an individual user in case of: overdue payment under section 7; a serious breach of these terms; a threat to the security of the service or of other customers; or a requirement of a competent authority. Where possible, the Provider gives advance notice and states the reason. During suspension the data is retained, and access is restored once the reason no longer applies.
12. Term and termination
- The contract is for an indefinite period, unless agreed otherwise.
- Either party may terminate it with written notice (including by email) at least 30 days in advance.
- Either party may terminate it immediately for a material breach not remedied within 14 days of written notice.
- If the contract ends due to the Provider’s fault or because of a change the Customer objected to, the Provider refunds the paid amount for the unused period pro rata.
13. Intellectual property
The BlockBooks software, including its source code, design, documentation, name and logo, is the exclusive property of Ivan Martinov Dimitrov. Access to the hosted service gives the Customer and its users only a non-exclusive, non-transferable right to use it as intended for the term of the contract. It does not grant any right to the software itself. Suggestions for improvements sent by the Customer may be used by the Provider without any obligation to pay.
14. Confidentiality
Each party keeps confidential the non-public information received from the other party in connection with the contract and uses it only for the contract. This does not apply to information that is publicly available, was already known to the party or must be disclosed by law. The obligation lasts for 3 years after termination, and for personal data without time limit.
15. Liability
- The Provider’s total liability for damage in connection with the contract is limited to the amount paid by the Customer in the 12 months before the event, or EUR 100 for free use.
- The Provider is not liable for lost profits and indirect damage, for damage caused by inaccurate data entered by the Customer, or for misuse of accounts resulting from the actions of the Customer’s users.
- These limitations do not apply in case of intent or gross negligence (Article 94 of the Bulgarian Obligations and Contracts Act), to harm to life or health, or where the law does not permit limiting liability.
16. Force majeure
Neither party is liable for non-performance caused by force majeure — unforeseen and unavoidable circumstances of an extraordinary nature, such as natural disasters, prolonged power or internet outages, cyberattacks despite reasonable measures, or actions of public authorities. The affected party notifies the other without delay.
17. Assignment
The Provider may assign the contract, including the Data Processing Agreement, to a company in which the Provider is a partner or sole owner and which continues to provide the service, with written notice to the Customer at least 30 days in advance. The terms, prices and data protection remain the same. If the Customer does not agree, it may terminate the contract without penalty before the assignment date. The Customer may assign the contract only with the Provider’s written consent; a change of the condominium’s representative is not an assignment.
18. Changes to these terms
The Provider may change these terms by notifying the Customer’s Administrators by email at least 30 days before the changes take effect. If the Customer does not agree, it may terminate the contract without penalty before that date. Continued use after the effective date means the changes are accepted. Changes required by law or for the security of the service may take effect sooner.
19. Notices
Notices are sent by email — to the Customer at the Administrator address given during negotiation or in the service, and to the Provider at [email protected]. A notice is deemed received on the business day after it is sent.
20. Governing law and disputes
The contract is governed by Bulgarian law. The parties seek to resolve disputes through negotiation. If that is not possible, the dispute is referred to the competent Bulgarian court. If the Customer qualifies as a consumer under the law, this clause does not deprive it of the protection afforded by mandatory consumer protection rules.
21. Language and final provisions
These terms are drawn up in Bulgarian and English. In case of discrepancy, the Bulgarian text prevails. If any provision proves invalid, the remaining provisions are not affected. Terms individually agreed in writing take precedence over these terms.
